Marketplace Terms of Service

1. Agreement to Terms

By purchasing items from the NEXTSUITE Marketplace ("Marketplace"), you agree to be bound by these Terms of Service. These terms govern your use of marketplace items and your relationship with sellers.

2. What You're Buying

License, Not Ownership: When you purchase a marketplace item, you receive a license to use it, not ownership of the underlying intellectual property.

Types of Items:

• Templates: Contract templates, forms, and documents
• Workflows: Automated approval flows and business processes
• Integrations: Connectors to third-party systems
• ML Models: Pre-trained machine learning models
• Services: Consulting, implementation, and training

3. License Terms

What You Can Do:

• Install and use the item in your NEXTSUITE workspace
• Modify the item for your internal use
• Use the item for commercial purposes within your organization
• Receive all updates and bug fixes for free

What You Cannot Do:

• Resell, redistribute, or sublicense the item
• Share your license with other organizations
• Remove copyright notices or attribution
• Use the item in a competing marketplace
• Reverse engineer or extract source code (where applicable)

4. Pricing and Payment

One-Time Purchase: All marketplace items are sold as one-time purchases, not subscriptions.

Payment Processing: Payments are processed via Stripe. You'll need a valid payment method.

Currency: All prices are in USD.

Taxes: Prices do not include applicable sales tax, VAT, or other taxes. You are responsible for any taxes.

5. Refund Policy

30-Day Money-Back Guarantee:

• Request a full refund within 30 days of purchase
• No questions asked for any reason
• Refunds processed within 5-10 business days
• Contact seller or NEXTSUITE support to initiate

After 30 Days: Refunds are at the seller's discretion. Contact the seller directly.

6. Support

Seller Provides Support: The seller, not NEXTSUITE, is responsible for supporting their items.

• Contact sellers through their marketplace profile
• Sellers commit to responding within 2 business days
• Support includes installation help, bug fixes, and usage questions

NEXTSUITE Support: We handle payment issues, account problems, and marketplace disputes only.

7. Updates and Maintenance

Free Updates: When you purchase an item, you receive all future updates for that version at no cost.

Major Versions: Sellers may charge for major new versions (e.g., v1 → v2).

Compatibility: Sellers are expected to maintain compatibility with new NEXTSUITE releases.

8. Warranties and Disclaimers

Seller Warranties: Sellers warrant that their items:

• Do not infringe on third-party intellectual property
• Are free of malicious code or security vulnerabilities
• Function as described in the listing

NEXTSUITE Disclaimer: NEXTSUITE DOES NOT WARRANT OR GUARANTEE MARKETPLACE ITEMS. Items are provided "AS IS" without warranty of any kind. We are not liable for issues caused by third-party marketplace items.

9. Limitation of Liability

NEXTSUITE'S MAXIMUM LIABILITY FOR MARKETPLACE-RELATED ISSUES IS THE AMOUNT YOU PAID FOR THE ITEM.

NEXTSUITE IS NOT LIABLE FOR:

• Bugs, errors, or issues caused by marketplace items
• Data loss or corruption from marketplace items
• Business losses from item failures
• Seller misconduct or failure to provide support
• Compatibility issues or conflicts

10. Disputes

Contact Seller First: For issues with an item, contact the seller directly.

Escalate to NEXTSUITE: If the seller is unresponsive or you cannot resolve the issue, contact NEXTSUITE support. We'll mediate disputes and may issue refunds.

Fraudulent Items: Report malicious, fraudulent, or misrepresented items immediately. We will investigate and may remove items and ban sellers.

11. Item Removal

Items may be removed from the marketplace if they:

• Violate our policies or terms
• Contain security vulnerabilities
• Receive excessive negative reviews
• Are abandoned by the seller
• Infringe on intellectual property

Your Access: If an item is removed, you retain access to your installed version and any updates released before removal.

12. Privacy

Purchase Data: NEXTSUITE shares your name, email, and organization with sellers when you purchase their items. This allows sellers to provide support.

Usage Data: Sellers may collect anonymized usage data to improve their items.

Privacy Policy: Your use of the marketplace is also governed by the NEXTSUITE Privacy Policy.

13. Reviews and Ratings

Leave Honest Reviews: You can rate and review purchased items.

• Reviews must be honest and based on your experience
• No defamatory, abusive, or false reviews
• We may remove reviews that violate our policies

14. Changes to Terms

We may update these terms with 30 days' notice. Continued use of the marketplace after changes constitutes acceptance.

15. Termination

Your Right: You can stop using marketplace items at any time. No refunds after 30 days.

Our Right: We may terminate your marketplace access for violations of these terms.

16. Governing Law

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law provisions.
