Marketplace Seller Agreement

1. Overview

This Marketplace Seller Agreement ("Agreement") governs your participation as a seller on the NEXTSUITE Marketplace ("Marketplace"). By registering as a seller, you agree to these terms.

2. Revenue Share

Example: For a $100 item:

• Gross sale: $100.00
• Your revenue (70%): $70.00
• Platform fee (30%): $30.00
• Stripe fees (~3%): $3.00
• You receive: ~$67.00

3. Payouts

• Schedule: Monthly automatic transfers via Stripe Connect
• First payout: Typically 7-14 days after first sale (Stripe requirement)
• Minimum threshold: $10 balance required for payout
• Currency: USD only at this time
• Rolling reserve: Stripe may hold 7 days of funds for fraud protection

4. Seller Responsibilities

4.1 Content Quality

You agree to:

• Provide accurate descriptions and working products
• Maintain item quality and functionality
• Update items as needed for compatibility
• Respond to buyer questions within 48 hours

4.2 Support

• You are responsible for supporting your items
• NEXTSUITE is not responsible for item-specific support
• You must provide reasonable support to buyers
• Documentation must be clear and complete

4.3 Updates & Maintenance

• Keep items compatible with current NEXTSUITE versions
• Provide updates and bug fixes as needed
• Notify buyers of breaking changes

5. Intellectual Property

5.1 Ownership

You retain all intellectual property rights to your items. By listing items, you grant NEXTSUITE a non-exclusive license to:

• Display and market your items
• Distribute items to buyers
• Use item names/descriptions in marketing
• Provide items to buyers who purchased them

5.2 Representations & Warranties

You warrant that:

• You own or have rights to sell your items
• Items don't infringe on third-party rights
• Items comply with all applicable laws
• You will indemnify NEXTSUITE against IP claims

6. Refunds & Chargebacks

• Your 70% revenue share is reversed
• Platform's 30% fee is also reversed
• Stripe fees are non-refundable
• You may dispute invalid refund requests
• Excessive refund rates may result in account review

7. Prohibited Items

You may NOT list items that:

• Violate laws or regulations
• Contain malicious code or malware
• Infringe on intellectual property rights
• Access or expose user data inappropriately
• Promote illegal activities
• Contain hate speech or offensive content

8. Approval & Removal

8.1 Approval Process

• All items require NEXTSUITE approval before listing
• Typical approval time: 24-48 hours
• We may reject items that don't meet quality standards
• You'll receive feedback on rejected items

8.2 Removal Rights

We may remove items that:

• Violate this agreement
• Generate excessive complaints
• Are abandoned (no updates for 12+ months)
• Pose security or privacy risks

9. Taxes

• NEXTSUITE does not withhold taxes from your earnings
• You may receive tax forms (1099-K in US) from Stripe
• Consult a tax professional about your obligations
• You agree to indemnify NEXTSUITE for tax-related claims

10. Account Termination

10.1 Your Right to Terminate

• You may close your seller account at any time
• Existing buyers retain access to purchased items
• Final payout processed within 30 days

10.2 Our Right to Terminate

We may suspend or terminate your account for:

• Repeated violations of this agreement
• Fraudulent activity
• Excessive refund rates (>20%)
• Poor quality or abandoned items
• Failure to provide support

11. Liability & Warranties

Limitation of Liability:

• NEXTSUITE's liability is limited to fees paid in the last 12 months
• We're not liable for lost profits, data, or indirect damages
• Sellers indemnify NEXTSUITE against third-party claims

12. Changes to Terms

We may update these terms with 30 days notice. Continued selling after changes constitutes acceptance. Material changes require explicit consent.
